Importance and Mission

The Company recognizes that conducting business with integrity, transparency, and adherence to ethical principles and legal compliance is the cornerstone of good corporate governance and a key factor in building confidence among all groups of stakeholders. Therefore, the Company focuses on cultivating an organizational culture that has zero tolerance for corruption and any actions that contradict the law or the Code of Business Conduct, while simultaneously maintaining effective supervision and internal control systems.
Management Approach
The Company has established a clear corporate governance system, where the Board of Directors and executives are responsible for setting policies, monitoring, tracking, and regularly reviewing operations related to ethics and legal compliance. The Company has enacted a "Code of Business Conduct," covering directors, executives, and employees at all levels. Furthermore, it has formulated written policies and guidelines to prevent and oppose corruption, alongside an independent and transparent whistleblowing system that protects informants. These measures are designed to systematically prevent and manage governance-related risks. Recognizing that business ethics and strict legal compliance are essential foundations for building trust, the Company emphasizes a Zero Tolerance Policy toward corruption in all forms. The Corporate Governance and Sustainability Committee is assigned to supervise, monitor, and review operations to ensure the organization maintains the highest possible mechanism for preventing governance risks.
The Company aims to communicate and provide training to 100% of its directors, executives, and employees, who must undergo training and sign an acknowledgment of the Code of Business Conduct and the Anti-Corruption Policy. Furthermore, the Company strictly complies with all laws, with no instances of fines or penalties resulting from violations of laws or regulatory requirements.
Implementation
- Policy Development: Formulate the Code of Business Conduct, the Anti-Corruption Policy, and the Whistleblowing Policy, and communicate these policies to personnel at all levels for awareness and implementation, including regular reviews of organizational-level policies.
- Capacity Building: Continuously provide training on ethics, legal compliance, and anti-corruption measures to directors, executives, and employees.
- Whistleblowing Mechanism: Establish a mechanism for reporting complaints in cases of suspected violations of the business code of conduct. The Company conducts investigations and determines disciplinary actions through a fair and transparent process, with measures to protect informants from retaliation, harassment, or demotion.
- Regulatory Adherence: Conduct business operations in accordance with the criteria set by regulatory authorities.
Performance Summary
- Policy Review: Reviewed the Code of Business Conduct1, the Anti-Corruption Policy, and the Whistleblowing Policy during the Board of Directors Meeting No. 8/2568 on November 11, 2025, to ensure that these policies remain appropriate and adequate for implementation.
- Training and Communication: 100% of executives and employees were communicated with and passed an understanding assessment regarding business ethics and anti-corruption (via online systems and E-Learning).
- Onboarding: Conducted orientation and basic skills training on ethics, the Code of Business Conduct, and regulations for all new employees before they are officially hired.
- Complaint Handling: Provided channels for receiving complaints directly to the Internal Audit Department and the Audit Committee, with enforceable measures to protect informants from retaliation or demotion. In 2025, a total of 3 cases were reported and detected (2 cases of fraud, 1 case of misconduct). The Company investigated and imposed strict disciplinary actions (termination of employment and legal proceedings), and immediately improved internal control systems to close any loopholes.
- Compliance Status: In 2025, the Company had no cases of legal violations that resulted in civil or criminal fines, nor was the Company's license revoked by any regulatory authority.
